Mother institute, ICSI has developed and is developing a lime lighted profession i.e. Company Secretary; when comparing with its past role has taken a Key Managerial Role in Corporate world.
Straight from Board Room to Broad Room. many a times people and even directors under estimated; but this professional carrying on with onerous responsibility moved on from definition of mere secretary to Company Secretary.
Time passes away with pace; many new act emerged after emergence of Companies Act, and this government started considering this professional into account while drafting any act, and under many act this professional has taken a seat of "Officer".
While writing this article , and i am thinking for any area where a Company Secretary can't fill its gape; straight from individual to proprietorship firm to Partnership firm to Private Limited Company to Public one to Listed Public Company to Get it delist .
Company Secretary are basically known for their compliance expertise under several act for the time being in force, one of the among is Companies Act, 1956, where Company Secretary plays a remarkable role, as a Compliance Officer, to the liasoning officer, to administrative wing to Coordinator. Company Secretary is a statutory auditor for various secretarial record & registers.
At need of proper course of action for any corporate queries; this professional will prove itself the best doctor. Area now a days after are all emerging from; FEMA, transfer of property, stamp act, civil, criminal, Cyber crimes, registration act, drafting of petitions and application, Indirect Tax, International Tax, Tax Management, Income Tax, under securities laws for listing, delisting, for every corporate actions moving from financial planning to winding up & amalgamations; Joint ventures, takeover; Corporate lands to the office of Company Secretary.
I really don't know; why many other institute professional's like CA or CWA used to compare and give analytical judgement on "which profession is better", I love to conclude their judgement staying as a Judge; Central Government has judged already and defined our role and responsibilities; why professional colleague from neighbor profession put & throw their comments on who is Company Secretary & on what he can or what he can't do. This profession is all going on with quick pace; not in a competition with any other profession; just their vision & mission is to grow rich; richer on every alternate years to come.
Every profession do have their unique identity and symbol and recognition and with due respect to every other profession; would like to say; "Ask entrepreneurs what do they mean by Company Secretary" they will define in better language.
