I want to know that in a public company how can we appoint regular directors. Kindly provide draft resolution considering the relavant section of company act 2013.

@ praveen: provide your email Id and section 152 and 160 of the act.
Initially director should be appointed in Board and after that his appointment shall be approved by the Shareholders in general meeting.
