True &fair view

*In course of inspection u/s 209(A) of the Companies act 1956,MCA has observed that the company has not disclosed the nature of prior period items &their impact of current profit/loss.

*Has not shown seperately the interest due on delayed payment to vendors as per format contained in part1 of Schedue VI.

* According to them due to that non disclosure "True &fair view is affected".Is the company/Regional Director expected to ask for statutory auditors'/independent Company secretary who have certified(as it is a listed company)comments before replying/taking any action against the company for the alleged violence.What is the position when there was no wholetime Company secretary for the relevant year.
