Dear sir
Please let me know the procedure for the resignation of the Director. The said director is stated as first and the permanent director of the company.
the director now wish to resign on his own wish.
Please advice as to what is the procedure and wher can i get those forms.

Hello Nikhil,
Simply collect a resignation letter from your director. To register the above resignation with ROC you have to file digitally certified form-32 with in 30 days from the date of resignation. Attach scanned copy of resignation letter with form-32 as proof of resignation. You may download form-32 from the MCA site which is www.mca.gov.in
No “need” to pass any resolution for such resignation. However you may go for noting of this resignation in the minutes book.

Find below the resolution for Taking note of Resignation of Director
“RESOLVED THAT the resignation of Mr. A, Director of the Company, be and is hereby accepted with effect from the 26th day of the June, 2007 and that the Secretary of the Company be and is hereby instructed to make appropriate noting in the Register of Directors accordingly and file Form No. 32 with the Registrar of Companies.”
