Hello, 

 

A company currently having only 25 lacs of Share capital has a Promoter holding of 81%. the Company is listed on the BSE but is not traded at all. The promoter wants to reduce his holding to 75% to meet the new criteria about minimum 25% public shareholding.

 

Due to certain specifics of the Company and other factors, the Company is unable to use (not eligible) the Offer for Sale (OFS) and the newly introduced Institutional Placement Programme (IPP) for dilution of its Promoter holding. with a size so low, they also cannot come out with an FPO. 

 

Please suggest if there is any other mechanism available to the Company for diluting its Promoter holding.
