A private limited co. received unsecured from its directors in the year 2011-13 of Rs. 40000.00.

Now it wants to convert it to equity.

Please give me the format of Notice Resolution of  Board meeting.

Is it necessery to file Form 23 in this case ?

Please advise me in detail.
