Dear All, would be careful if anybody could clarify if the statutory meeting of a ltd co. could be held at a place /city/ state other than the one mentioned as its registered office? thanks ! rajkumar |

The statutory meeting like any other general meeting has to be held in the city in which the registered office is situated. |

As per my understanding restriction regarding place of AGM as mentioned in section 166 are not applicable to the statutory general meeting.
So you may hold your statutory general meeting anywhere in the world subject to the compliance of other sections for a GM.

Dear Ankur, Thanks for trigerring the doubt. Ramaiya states any general meeting other than AGM can be held at any place as may be decided by the Board. However, the Secretarial Standards issued by ICSI has not differentiated between Statutory Meetings, AGM or EGM for the purposes of Place of the meeting and state that the meeting should be held in the city in which the Regd. Office is situated. |
