Hi,
I have recently resigned as a director from a pvt ltd company. I also have transferred my shares another shareholder. Few years back, all shareholders signed a MoU which indicates that the company is buying some land but registering them in the name of shareholders. I also have company land which is transferred from the shareholder to my name and I paid cash to him for this transfer. Land is registered in my name now, without any mention of company.
In view of MoU, who is the owner of this land ??
What is the legal validity of MoU against a registered property document ??
Please advise.

I have filed form EES for striking of name of one private limited company on 27th January 2011, since 29th January status of that form is being shown as Held in abeyance.., I spoke to dealing person at ROC office, he replied that since the company is very old (1990) it will take time to verify old records of the company and the status of the company will change in some time. now status of company in master data is showing as DORMANT....
should i have to do something or the name will automatically be striked off.

I received a notice under sction 159,166,210,220 of companies Act 1956 for non filing of annual filing from roc.we submit form 23 ac & 23aca in time but not submit 20 b due to wrong filing of 23 ac & aca hense anybody send me what i do? what reply i give to roc ?

Dear All,
We are a unlisted public limited company. We proposed to allot shares on preferential basis to our directors.
We have taken the approval of members under 81(1A) and complied with the prescribed rules.
Now how the resolution for allotment should be passed in the Board Meeting. As we are allotting shares to 3 Directors out of 4?
As all three directors are interested in the resolution
Please guide us on the same.

Dear Members
Mentioning PAN in DIN application has now been made mandatory.
Stake holders who had not mentioned the PAN earlier have now been mandated by MCA to file DIN-4 before 31st May 2011 through which PAN has to be intimated to the department.
We had earlier obtained DIN for foreign nationals who does not possess PAN.
Kindly advise whether those foreign nationals has to apply and obtain PAN.
