03 September 2010 “RESOLVED THAT the consent of the company be and is hereby given to the Board of Directors of the Company to subscribe or otherwise acquire the shares of __________(Name of the Company)or to invest, make loans and to become shareholders, directors or subscribers in accordance with the law of _______(Name of the Country)and to do, execute and perform all or any of the acts mentioned under Section 291 & 292 and any other applicable provisions of the Companies Act, 1956 in fact and at law so long as they are Directors of the Company to act for and in the name of the Company or in their own name and on behalf of the Company.”

“RESOLVED FURTHER THAT Mr. Managing Director or Mr. Director of the Company be and are hereby authorized by the Board to do all acts, deeds, matters and things and to exercise all rights, powers, authorities, duties and discretion’s as may be useful, necessary or expedient for the above purposes.
