Change from one City to another within the same State

If the registered office is to be shifted from one city, town, village to another town, ciry or village within the same State, a special resolution has to be passed in the general meeting and file Form 23 and Form-18 within 30 days accordingly. This change of the registered office also does not involve alteration of Memorandum.

No need to take Regional Director permission for the same.

Approval of RD would not be required in your case as transfer from one state to another state is not involved.

03 May 2013 If transfer is with in local limit, call a Board meeting and pass a resolution for shifting of registered office with in local limit.

In this case, you only file Form-18 with ROC, and no need to file any other forms for this.
