02 May 2013 Sir,

Company wish to change the designation of Whole time director to Executive Director.

He is getting remuneration of Rs. 1 lakh pm from the company.

Suggest on compliance to be made except form 32.

02 May 2013 1 Obtain consent from the Whole Time Director to act as Executive Director.

2 Convene a board meeting to obtain approval of BOD

3 File Form 32

4 File Form 23 (see sec 192 for form 23)

5 Make entry in register of directors

Agree with Mr. Govinda.

No need to file Form-23 with ROC, because, agreement filing under section 192 is applicable only for Managing Director and not for WTD.

Rest follow the same as mention by Mr. Govinda.

Mr. A was appointed as Whole time director from 01.06.2011 to 31.03.2012 (Form 23 , 25 C and 32 filed ) , now company wish to change the designation of the director as Executive director with same remuneration as he was receiving previously.

What are the compliance to be made for remuneration to executive director ,

Is it Board resolution , special resolution or Ordinary resolution ?

Shall we have to refer to any limit for remuneration to Executive Director?
