10 January 2013 can anyone provide me the Board Resolution for making investment outside India by Indian company and in which a director will be beneficiary for a share on behalf of company and rest of the shares will held in the name of Indian company?

For this two resolution will be passed first for Investment and second for authorised some person to become beneficiary.

Board Resolution for Investment:

CERTIFIED TRUE COPY OF THE RESOLUTION PASSED AT THE MEETING OF THE BOARD OF DIRECTORS OF (NAME OF THE COMPANY) HELD AT THE REGISTERED OFFICE OF THE COMPANY AT (ADDRESS) ON (DATE) AT (TIME)

“RESOLVED THAT pursuant to the provisions of Section 292 (1)(d) and other applicable provisions, if any, of the Companies Act, 1956 or subject to such modification and re-enactment thereof, consent of the Board of directors of the Company be and is hereby accorded for making investment not exceeding to Rs._____________ (Amount in words) to the following body corporate(s)/trust/ firm etc. in one or more tranches, and on such other terms and conditions as may be mutually agreed between the both parties :

Name of the Body corporate/trust/firm/ Amount of investment

"FURTHER RESOLVED THAT (Name of the person(s) authorized) be and are hereby severally authorized to do all such acts ,deeds and things as may be required to give effect to this resolution.”

11 January 2013 sir can we pass only one resolution for this as because section 187 applicable to reperesenting company as member of more than one company and this is the case of investment in which shares will be allotted to this director on behalf of company? please guide..

11 January 2013 Thanks sir, i want to ask one more thing that if an individula incorporate a company outside india and he hold one share in that company and now if an indian company want its involvment in that company and the invidual is director of indian company then further shares has to allot in the name of indian company and the individual will bold shares as its BO now after remitting money post comliances are as under:
1. share certificate has to receive within ...... days and as a proof to show AD in howmany days... please guide.
