KNOW YOUR DUTIES AND LIABILITIES UNDER THE COMPANIES ACT,2013 

The new Companies Act 2013 brings a whole lot of duties, responsibilities, and of course, liabilities on company directors, primarily CEOs, whole time directors, and key managerial personnel (KMPs). Some of the provisions of the Act, mentions mandatory imprisonment, power of arrest without a warrant, and no release without a prima facie defense, are scary enough. Monetary amounts for offences have gone up manifold. Non-compliance of various laws not only brings in hefty penalties, but may also disqualify a director from corporate board altogether.

All of this, ushers a new era of concern for corporate governance.
