i was recently in MA USA as an independent director of a medium sized coy. I observed the goings on here in india but they said so FII are worried of investments in india, as indian co promoters behave differently.

in USA boards pull up the managements if they omitted resolution terms in letter and spirit. there integrity between bd n mgmt is a must. even CEOs unceremoniously removed at short notice for non compliance of resolutions

good report based article soniaji. invariably the managements resent Bd guidance, that i saw in several bd of directors meets, this can be seen when the management does not heed the reasons for resolution.
